IRISfile is operated by PIXELCOVE, LLC, a Massachusetts limited liability company. By creating an account you agree to these terms. ## The service IRISfile converts 1099 data from FIRE, CSV, Excel and IRIS XML files into IRS formats. It checks the data for errors and produces IRIS XML, IRIS Portal CSV files and recipient copies. It files returns with the IRS through the IRIS A2A system on your behalf. PIXELCOVE, LLC is the IRS transmitter for those filings. You remain the responsible filer for the underlying tax information. For Massachusetts, IRISfile generates a state file that you upload to the Massachusetts Department of Revenue yourself. IRISfile doesn’t file with Massachusetts or with any other state. ## Your responsibilities - You provide accurate payer and payee data. We check format and IRS rules, not the truth of the underlying numbers. - You don’t use IRISfile to file fraudulent or willfully incorrect returns. - You keep your sign-in credentials and API keys secure. You’re responsible for activity under your account. - You hold any state filer registrations or authorizations that a state requires, and you upload state files yourself. ## Billing - Uploading, converting and checking files is free. Without a license for the tax year, a conversion is a preview, with the file and record limits shown in the app. - A license costs $99 per seat for one tax year, through Stripe. It covers every print and download for that year: recipient copies, IRIS XML and the Massachusetts file. - Filing is charged per form, through Stripe, before IRISfile files the form or delivers an IRIS Portal CSV that contains it. Each form is priced by its place in your count for the tax year, at the rates on the [pricing page](https://irisfile.co/pricing). There is no minimum charge. - A form you paid for is not charged again, and a correction or void of it is free. A correction for a payee and form you have not paid for is billed as a new form. - There is no subscription and no automatic renewal. Payments for forms already filed are not refunded. - Prices may change. Material price changes get 30 days’ written notice and never apply to forms you already paid for. ## Acceptable use Don’t use IRISfile to: (a) file returns containing data you haven’t been authorized to file, (b) probe, attack, or scrape the service, (c) resell access without a written agreement, (d) violate any law that applies to you or to PIXELCOVE. We may suspend or terminate accounts that do, and we cooperate with valid law-enforcement requests. ## Availability and acknowledgements IRISfile is built for filing deadlines, and we aim for high availability. The IRS IRIS system is outside our control. The IRS sends each acknowledgement (accepted, accepted with errors, partly accepted or rejected), and we show it to you when it arrives. We don’t guarantee acceptance of any specific filing. If the IRS rejects a submission, we show you the rejection and let you correct and refile it. Refiling a form you already paid for is not charged again. ## No warranty The service is provided “as is.” To the extent permitted by law, PIXELCOVE disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement. You’re responsible for keeping copies of source data and filed XML for your own records. ## Limitation of liability To the extent permitted by law, PIXELCOVE’s total liability for any claim arising out of the service is capped at the amount you paid us in the 12 months preceding the claim. We’re not liable for indirect, incidental, or consequential damages. ## Governing law Massachusetts law governs these terms, without regard to conflict of laws principles. Disputes go to the state and federal courts for Essex County, Massachusetts, unless we both agree otherwise. ## Changes We may update these terms. Material changes will be posted here with a new “Last updated” date and, where we have your email, sent to you.
